Job description : Company Secretary

The Company Secretary will be responsible for ensuring the company complies with statutory and regulatory requirements and for providing guidance to the Board of Directors on governance best practices. The role requires a strategic thinker with strong attention to detail and excellent communication skills.

 

Qualifications & Experience:

  • Bachelor's degree in Law, Business Administration, or a related field.  

  • Membership with a recognized professional body (e.g., ICSA, Chartered Governance Institute).  

  • Minimum of 3 years of experience in a similar role.

  • Proven track record of managing corporate governance and compliance in a group of companies.

  • Exceptional organisational skills and legal acumen
  • Ability to maintain confidentiality and integrity

 

Key Responsibilities:

  • Governance & Compliance:

    - Ensure the company adheres to statutory and regulatory requirements.  

    - Manage the company's statutory books and maintain accurate records.  

    - File annual returns and other relevant statutory filings with regulatory authorities.


  •  

    Board Administration: 

    - Schedule, organize and prepare agendas and papers for board meetings, AGM and committee meetings.  

    - Take accurate minutes of meetings and distribute them timely.  

    - Provide guidance to the Board on corporate governance and compliance issues.  

     

  • Legal & Regulatory Liaison:

    - Act as a point of contact between the company, regulatory authorities, and other stakeholders.  

    - Prepare resolutions as and when required.        

    - Prepare statutory documentation for declaration of dividends

    - Handle acquisition, disposal and share movements.  

    - Maintain the statutory registers and ensure accurate record keeping.  

     

  • Advisory Role:

    - Advise the Board on best practices, changes in legislation, and potential impacts on the organization.
